Role: Legal Counsel

Hours: Part Time (25-30 hours a week)

Location: Fort Dunlop, Birmingham

The role will see you provide senior level commercial legal and risk management leadership for the UK I&F business. 

 

Main Duties and Responsibilities:

 

  • Support for high level tenders and bid including contract negotiation and review
  • Commercial risk training, management, awareness and advice to the internal business
  • Control of commercial risk management and compliance activity within the region. Responsible for tracking and maintaining local and regional risk registers and providing support to the local entities to implement improvement measures
  • Acting as Data Protection Officer for the UK and ensuring interface with Group is managed effectively
  • Develop and embed commercial compliance within the region.  Assist with both HO and external audit process in country and ensure NCR’s are monitored and closed out.
  • Manage risk management elements of internal audit programme across region that would improve efficiency and areas of strength and weakness
  • Ensuring corporate governance basics are observed and all company directories are kept up to date. Director’s appointments and resignations, director and senior management training in conjunction with L&D), Board meetings minuted and key decisions and resolutions recorded
  • Support OG GC in implementation of HO lead initiatives
  • Assist HR in management of employment law issues facing operations.
  • Support compliance investigation activity across the region.
  • Support to business with acquisition, mergers, divestments and restructuring.
  • Advice and internal support in relation to contract due diligence on acquisition and disposal processes, etc
  • General legal advice and use of preferred external legal suppliers for use as approved. Ensuring external legal spend is controlled and used solely on specialist or litigious activities.
  • Drafting and negotiation support on significant joint venture and partnering agreements, supporting operations with the development and presentation of new service lines
  • Maintain proactive support and guidance to all business units, providing contract reviews in a timely manner
  • Embedding compliance culture by promoting Code of Ethics.

 

Experience & Skills Required:

  • Ability to advise and practice in commercial/corporate law including company secretarial duties, insurance and audit
  • Strong commercial focus with excellent communication and negotiating skills in cross functional context
  • Line Management experience
  • Experience of working in a large matrixed organisation preferred
  • Circa 8 years PQE including minimum 2 years In House
  • TIC/Services Company experience an advantage
